Polish Company Sp. z o.o. (Deposit sum and local check from the authorities)

Hello there,

if you want to open a Company here with the Sp. z o.o. form, it makes sense for the 5000 PLN "security" deposit.

But can the sum be removed from the business bank account after successful forming a Sp. z o.o.?

Do Local authorities (City Office or so) come and check on the business?
Or only in certain areas, like Alcohol, Food et cetera?

I hope somebody can for my questions help :)

You can withdraw your capital but you will have to pay at least 19 percent tax whatever way you do that - if you pay a salary, if you pay a directors fee or if you pay dividends (which you can not do for one year at least anyway).

@jon357; Not even a inspection for food handling? It would be strange if Big Companies (or franchises) like Mcdonalds / Burger King get away without for example a inspection if the work place is clean and so on.

@cms; Okay thanks for the explanation. I guess better to keep almost 1000 PLN in the Bank Account for the taxes already, if not really needed :)

That's done by a particular organization, somewhat under-resourced and with a broad range of duties. It tends to inspect reactively.

It's not registered in the commercial registry, nor has it ever submitted financial statements.
