Entrepreneur seeks advice on small business formation / corporation in Poland

I am a U.S. citizen looking to setup a small touring business in Poland that utilizes an internet storefront. The scope of activity is quite small. Quite simply I will be transporting the luggage of my clients from hotel to hotel as they travel by bike to each destination. I've done some searching and it seems my best option is a civil partnership. However I am not looking to take on any partners (last resort). Three questions: 1) Are there any known agencies in Poland that will act as my civil partner on paper only as well as provide additional setup and assistance? I've found one, but would like to shop around - please provide links if possible. 2) Is there a simpler business structure I have yet to discover that would prevent the need for a partner or capital? 3) What sort of visa/work permit would be most applicable to my situation? I would be emigrating as a self-employed US citizen. Thank you for your time!!!

I think getting a partner you don't really know isn't the best option.

if you are internet based why do you need to set up the company in poland or need a polish partner...?

i also imagine that this is a niche market which will mean working with a comparitively small number of hotels - wouldnt it be possible to just work directly with them...?

what role are you expecting your civil partner to play?

whatever... this lady, Joanna Niewiadomska, runs a business consultancy in Krakow and assisted me in the start up of my first polish company... i can recommend her, maybe she can help

Sorry for the delay. I didn’t realize I had responses already. I expected an email notification.

Re. to Mlody: Yes I agree getting a partner I don’t really know is a precarious move, which is why I want to avoid it.

Re. to BubbaWoo: Anyway the reason I need a partner is because it is required by Polish law for a natural person of a country (I am American) not in the E.U. or EFTA. I looked also at the angle of reciprocity but it is highly difficult for a Polish national to just setup shop as a sole-proprietor and do business in the U.S. if not impossible. The visa hurdles for the U.S. are quite high. So reciprocity is out.

I would like to run the business without “support.” You ask, “What will be the role of my partner?” That’s difficult to say because at this time I am working on starting without a partner so I have not given it much thought.

As for hotels, yes, I plan to work directly with them. Are you suggesting I partner with one of the hotels?? Interesting thought…

Stated incorrectly earlier was the need for a civil partnership. I really desire a limited partnership where I would be the general partner and for the most part bear full legal and financial responsibilities.

Re. to mlody: Oh and the need for a polish partner is because I wish to live in Poland and conduct the business. But the point of all this is to find a work around to having a partner.

I have a question for you, one is where your conducting this business, and two
since you are going to be doing that kind of work in a hotel, I recommend joining a side business that i work with also. Its telecommunications, my friend, and that business is rapidly growing in Poland and other European countries, I have lots of family in Southern Poland, and My advise would be to get to know a polish - english speaking partner, because its hard to travel and work without the knowledge of speaking that language. But please do consider my offer also, with working on a team based side business as well.

[Moved from]: Setting up a corporation in Poland. or not?

Just wondering if tax-wise it is better to setup a new corporation in Poland or to just bring a foreign one in from overseas to do business in Poland? Or is there financially no difference?

Depends what you want to do. If you're going to be making stuff here and exporting it then it makes sense to have a company hq in a low tax/low VAT country and a branch here. For real estate, its easiest to have a company here as you have to pay tax on profits from real estate here whatever and there's no point having 2 layers of admin.
