On the whole you need not to set up a branch in Poland. But you have take into account that your business activity in Poland can be qualified by an polish tax office as a plant/ branch. In such case your profits gained in Poland have to be taxed in Poland. The are also other effects regarding VAT related to providing the tourism services in Poland.

Whether you can provide an business activity in Poland as a "sole trader" - one person company it depends on your legal status in Poland. In general the foreigners (not EU citizen) is forbidden to set up and provide business activity as a sole trader. Only in some circumstances it's possible, for exemple if you have any special residental permission. But the abovementioned restrictions refer only to an activity as a sole trader (dzialalnosc gospodarcza).

There are many other options to omit this ban. As a not EU citizen you can provide your business in Poland by setting up one of the companies listed in the statute, for example Ltd.

It's also possible to set up a Ltd. in England and provide the business in Poland, but you have take into account another effects concerning taxation, insurance etc. So if you are really interested, contact me please.

Law / legal question - how to close a company in Poland? [9]

If you want to close your company in Poland you need to:
- pass the resolution about the opening the process of winding up,
- drawn up the opening balance sheet for the winding up,
- submit the above mentioned documents to the registar court and inform the Court and Economic Monitor about the winding up of your company
- after 6 months you should pass the resolution about the closing process of winding up,
- drawn up the closing balance sheet for the winding up, and
- submit the above mentioned documents to the registar court and inform the Court and Economic Monitor about the winding up of your company.

If you are the only shareholder of the company the foregoing resolutions should be notified by the public notary. If your company has no depts, it is really easy to close it. The cost for winding up the cmpany are regulated by statute and amount to circa 2,000 Zloty. You should also inform the statistic and tax authorities about winding up.

The suspension of the comapany activity is according to the polish law impossible. So, the only solution is to follow the above mentioned way.

Hi,

a choice of the legal form for doing business in Poland depends on it, what kind of business activity you would like to conduct (size, character). The polish legal system provides many legal forms you can choice. Your legal status in Poland is also importent i.e. whether you have a residence permission in Poland or in another country of the European Union. If not, you can conduct your business activity in Poland only in specified legal forms, for exemple in form of Ltd (limited company).

The most popular form ist setting up a new limited company. It takes about 1 month and costs not much (5,000 PLN share capital and costs of setting up of a company - about 10,000 PLN - notary costs, lawyer costs, administrative costs). For this purpose you need to draw up the articles of incorporation in form of a notarial deed. Then the company has to be registered by the register court and by the Internal Revenue Service as well by statistic office.

You can also buy an already existed company but it costs more. In this case you have to pay for the transaction of purchasing a company.

The status of the American people is in Poland special because of the trade treaty made between Poland and the USA. Under treaty the American people may conduct business activity in Poland as Sole Proprietorship after obtaining the permission from the Ministry of Foreign Affarirs. In practice it's not problem. After this you need to be registered by the Internal Revenue Service (NIP) as well as by statistic office (REGON).

For people who are not EU - national and coming from countries with that Poland has no special trade treaty the situation is worse. They may conduct business activity only in the form of limited partnership, Ltd., limited - joint stock company, joint stock company. The other legal forms are forbidden unless that somebody has a special residence status in Poland or in a another EU - country.

Your post address can be everywhere in Poland (I mean a seat of a company). Inkrakow has right that you have to sign a rent contract for renting room/office. It's not problem. The Tax office is interested only in the office/ place, where your company's books are located. I'm from Poznan.

My firm has signed many such rent agreements. In our rooms are situated about 5 companies (Ltd.).

One time payment looks strange. It's not forbidden by polish law. It depends for example how long time are you going to rent a room/ address. In many situations the Tax Office can make problems so it will be better if you pay a monthly rent.

According to the polish law your firm needs to have a seat in Poland - registered seat. In practice many firms conduct business in Poland from abroad. For example one of my client - board member I've never seen in Poland but he runs his business.

The licence from the UK is not valid in Poland. You should apply for a licence here. You have to fulfill the specified conditions to obtain a licence. But I think it'll be no problem.

Firstly you have to register you business activity in Poland by the Office (or Court - it depends on it which legal form would you like to choice), apply for Tax number and Statistic number.
