Dear Alex,

I am polish lawyer. Basically as an non EU you can open spółkę:
- komandytowej,
- komandytowo-akcyjnej,
- z ograniczoną odpowiedzialnością i
- akcyjnej

If you decide to go with Sp. z o.o. (I recommend more than one shareholder for less paperwork) from your $3500 (minus company expanses, ie. wages) your Sp. z o.o. will have to pays 19% CIT. There should be no VAT if US company is registered VAT payer. They will have to pay VAT in USA. So you invoice $3500 total.

But you can not use Sp. z o.o. money for private use (food, private accommodation). That is why you should be "employed" by your company.

If you become President of the Board, shareholders can grant you monthly salary and this salary is subject to PIT (18% and above 85 528 PLN yearly you pay 32% from surplus)

In above situation there is no ZUS (social insurance) but in order to receive resident permit you will need health and medical treatment insurance (It can be form any Insurance Company).

Plus your company will need accountant (approx Euro 100-150 monthly) and registered office.

Basic calculations:
- your Sp. z o.o. receives $3500 in Aprill
- in April your salary is $3000 (TAX USD 540, you receive on your private account netto USD 2460 )
- Sp. z o.o. still has USD 500 so you can spend this on accountant, company mobile etc (for example USD 400 total).
Your Sp. z o.o. income is USD 100 and this is subject to CIT 19%

This is just basic calculation to show you the TAXATION.

why not sell online? for example on mybaze and see how it goes.

If you do not have karta polaka starting business in Poland is more expensive.

Without karta polaka you can start limited liability company in Poland but I do not think it will be suitable for you at this point.

Alternatively you can find a polish business partner. I have business partner in Belarus and we have transport company in Poland and Belarus. If you wish he can call you and explain your options. He is form Belarus.

I have opened 3 Temporary Work Agencies for our Clients. I would be delighted to help you and will answer all your questions.

With regards to your questions regarding setting up Temporary Work Agency.

1) Juridical form

You can either open a Temporary Work Agency as a sole trader or alternatively you can open limited liability company.

You can now open LLC in Poland on-line and it will be registered within Court in 3 working days. Then you apply for statistical number (REGON) and TAX Identification Number (NIP). This will take up to 7-10 working days.

2) Starting Temporary Work Agency

Before you start employing temporary workers you have to register your company within Register of Employment Agencies which is operated by The Voivodeship Labour Office in Gdańsk.

Requirements:
- sign application for entering in to the register.
- sign a statement (I can send the english version of statement to your email)
- attach NIP and REGON number certificates
- attach excerpt from National Court Register (LLC) or excerpt form sole trader register

3) We can advise you on employment contracts and other issues connected with doing business in Poland.

You can open LLC while you are in France and we can take care of NIP, REGON and Employment Agency registrations.
